1. Agreement to these Terms

These Terms of Service govern your access to and use of heldgroundclothing.com and any purchase from Held Ground. By accessing the website, creating an account, or placing an order, you agree to these Terms and to the policies incorporated by reference, including the Return and Refund Policy, Shipping Policy, and Privacy Policy.

If you do not agree, do not use the website. These Terms do not waive any right that cannot lawfully be waived.

2. Eligibility and accounts

You must be at least the age of majority in your state of residence or use the website with the involvement and permission of a parent or legal guardian. You are responsible for providing accurate information, safeguarding account credentials, and all activity under your account.

3. Products and product information

We make reasonable efforts to describe and display products accurately. Screen settings, production methods, garment batches, and normal manufacturing tolerances may cause minor differences in color, placement, texture, or appearance. Such minor variations are not necessarily defects.

Product availability, descriptions, images, prices, and offerings may change without notice. We may limit quantities, discontinue products, or refuse sales where permitted by law.

4. Orders and acceptance

Submitting an order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily mean we have accepted the order. We may accept, reject, limit, or cancel an order for reasons including suspected fraud, pricing or listing errors, product unavailability, payment issues, address problems, or legal restrictions.

If we cancel an order after payment, we will refund the canceled amount to the original payment method. Order changes and cancellations requested by a customer are not guaranteed and generally are unavailable after production begins.

5. Prices, payment, and taxes

Prices are shown in U.S. dollars unless stated otherwise. Shipping charges and applicable taxes are displayed at checkout. You authorize us and our payment providers to charge the payment method submitted for the total shown at checkout. You represent that you are authorized to use that payment method.

If a price or material product detail is incorrect, we may cancel the affected order and issue a refund rather than fulfill it on incorrect terms.

6. Fulfillment and shipping

Products may be produced, fulfilled, and shipped by third-party providers. Delivery dates are estimates unless expressly stated otherwise. Shipping terms, delays, address issues, and delivery claims are governed by the Shipping Policy.

7. Returns, replacements, and refunds

Returns, replacements, refunds, and defect claims are governed by the Return and Refund Policy. Because products are produced after an order is placed, buyer’s-remorse returns and exchanges are not accepted except where required by law.

8. Intellectual property

The website and its content—including the Held Ground name, logos, artwork, designs, graphics, photographs, text, product names, slogans, and layout—are owned by or licensed to Held Ground and are protected by applicable intellectual-property laws. No license is granted except the limited, revocable right to use the website for personal, noncommercial shopping purposes.

You may not copy, reproduce, modify, distribute, sell, publish, scrape, create derivative works from, or commercially exploit protected content without prior written permission.

9. Acceptable use

You may not use the website to violate law or another person’s rights; submit false, fraudulent, harmful, or malicious information; interfere with security or operation; introduce malware; scrape or harvest data without permission; impersonate another person; or attempt unauthorized access to any account or system.

10. Reviews and other submissions

If you submit a review, image, comment, suggestion, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not infringe another person’s rights. You grant Held Ground a nonexclusive, worldwide, royalty-free license to use, reproduce, modify, publish, display, and distribute that content for operating, improving, and promoting the business, subject to applicable privacy law.

We may remove or decline content that violates these Terms, but we are not obligated to monitor all submissions.

11. Third-party services and links

Shopify and other third parties provide services used by the website. Third-party links and tools may be governed by separate terms and privacy policies. Held Ground is not responsible for third-party websites, content, or services to the extent permitted by law.

12. Disclaimers

To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” Held Ground disclaims warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the website will always be uninterrupted, secure, or error-free.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms limits warranties or consumer rights that cannot lawfully be excluded.

13. Limitation of liability

To the fullest extent permitted by law, Held Ground and its owners, personnel, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising from the website, products, or these Terms.

To the fullest extent permitted by law, the total aggregate liability arising from a claim relating to a product or order will not exceed the amount paid for the product or order giving rise to the claim. These limitations do not apply where prohibited by law, including to liability that cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold Held Ground and its owners, personnel, affiliates, licensors, and service providers harmless from third-party claims, liabilities, losses, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, or your infringement of another person’s rights.

15. Governing law

These Terms and any dispute arising from them are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict-of-law principles. This provision does not deprive a consumer of protections that cannot be waived under the law that applies to that consumer.

16. Changes, severability, and waiver

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively unless law permits otherwise. If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver.

17. Entire agreement

These Terms and the policies incorporated by reference form the entire agreement between you and Held Ground regarding the website and purchases, except for any separate written agreement that expressly applies.
